PURCHASE, MANUFACTURE, DELIVERY, AND INSTALLATION AGREEMENT
CUSTOM CABINETRY / MILLWORK
This Purchase, Manufacture, Delivery, and Installation Agreement (βAgreementβ) is entered into on β, by and between:
CONTRACTOR: BuiltForm Design, with principal address at β, hereinafter referred to as the "Contractor";
and
CLIENT: β, residing β, referred to as the "Client".
The parties agree as follows:
1.1. The Contractor shall provide the design finalization, manufacture, sale, delivery, and installation of custom built-in cabinetry and/or millwork for the property located at:

1.2. The work includes only the items specifically described in Exhibit A β Scope, Drawings, Measurements, and Specifications, which is incorporated into this Agreement.
1.3. The base specifications for this Agreement are as follows:
- Cabinet boxes: plywood
- Hinges: soft-close
- Drawer slide: undermount
- Finish color: β
1.4. Unless expressly listed in Exhibit A and specifically priced in writing, the following are excluded from this Agreement: appliances; sink; faucets and plumbing fixtures; quartz, granite, stone, or similar materials; electrical work; plumbing work; drywall, painting, tile, or general construction work; demolition; debris removal; glass, mirrors, metalwork, or work by third parties; any third-party labor or materials.
1.5. Any item, service, hardware, accessory, lighting, panel, trim, filler, modification, or feature not expressly listed in Exhibit A shall be considered an extra and billed separately.
2.1. The total contract price is $0.00 + tax.
2.2. Payment shall be made as follows:
- 50% deposit upon execution of this Agreement, required to begin the work, finalize the project, reserve scheduling, and purchase materials;
- 25% on the day of delivery, due immediately once the cabinetry/millwork is delivered to the project site;
- 25% upon completion of the work, due when installation is substantially completed.
2.3. The Contractor shall have no obligation to begin production before the deposit has cleared, deliver materials before the delivery payment has been made, or complete installation while any balance remains unpaid.
2.4. Any late payment shall incur a 5% late fee on the overdue amount, interest at 1% per month (or the maximum permitted by law), plus any additional remobilization, storage, transportation, collection, or rescheduling costs incurred by Contractor.
2.5. Payments already made are non-refundable to the extent they cover design work, measurements, labor, scheduling, materials ordered, custom fabrication, logistics, and other costs already incurred.
3.1. The estimated timeframe for fabrication, delivery, and installation shall be 3 weeks, beginning only after the Agreement is signed, the initial deposit has cleared, final drawings/design have been approved in writing, final measurements have been confirmed, and the job site is ready for installation.
3.2. Any stated timeline is an estimate only and may be extended due to supplier or material delays, material shortages, changes in design or scope, delayed approvals by Client, job site not being ready, interference by third parties, or force majeure.
3.3. Contractor shall not be liable for delays caused by third parties, including builders, electricians, plumbers, tile installers, countertop fabricators, appliance suppliers/installers, painters, designers, HOAs, property management, or other trades.
4.1. Final drawings, layouts, and specifications must be approved by the Client in writing, including by email or text message.
4.2. After approval, any change requested by Client shall be treated as a change order and may result in additional charges, delays, or revised materials/scope.
4.3. Measurements provided by Client or any third party shall be considered preliminary unless independently field-verified by Contractor. If Client requests fabrication based on unverified measurements, Contractor shall not be responsible for resulting fitment issues, fillers, gaps, or modifications.
5.1. Client shall provide safe and unobstructed access to the property; ensure the job site and surrounding conditions (walls, floors, ceilings, electrical, plumbing, tile) are ready and suitable for installation; disclose any building, HOA, elevator, loading dock, insurance, access, or scheduling restrictions in advance; have an authorized person available to receive delivery and inspect work; and make all payments on time.
5.2. Client acknowledges that walls, floors, and ceilings may not be level, square, or plumb; minor variations, fillers, scribing, reveals, and alignment adjustments are normal in custom millwork; and samples/renders may vary from final manufactured products in tone, texture, sheen, grain, and appearance. Such variations do not constitute defects.
6.1β6.4. Delivery shall be scheduled according to Contractor's availability and project readiness. If Client is unable to receive delivery or the job site is not ready, Contractor may charge additional delivery/storage fees or reschedule. Contractor's delivery obligation is fulfilled upon delivery to the project address. After delivery, Client assumes responsibility for protecting the materials against damage, dust, moisture, theft, misuse, or third-party interference.
7.1β7.3. Installation shall follow standard trade practices. Minor adjustments, fillers, caulking, trim work, punch-list items, and standard tolerances do not constitute defective or incomplete work. "Completion" means substantial completion β the cabinetry is installed and usable for its intended purpose, even if minor punch-list items remain.
7.4β7.6. The final payment is due upon substantial completion regardless of minor touch-ups, pending non-critical parts, or unfinished third-party work. If Client does not submit written notice of a specific concern within 72 hours of substantial completion, the work is deemed accepted. Use or occupancy of the area constitutes acceptance of the work performed.
8.1. Contractor shall not be responsible for delays/defects caused by third-party products or services; installation or fitment of appliances, sinks, plumbing fixtures, stone, or countertops unless expressly included in writing; cracking of existing finishes caused by pre-existing conditions or necessary installation processes; damage caused by water, moisture, mold, misuse, or lack of maintenance; slight variations in color, sheen, grain, or texture; or indirect, incidental, or consequential damages.
8.2. To the fullest extent permitted by law, Contractor's total liability shall be limited to the amount actually paid for the specific defective item or affected portion of work.
9.1. Contractor provides a workmanship warranty for a period of 1 year from the date of substantial completion. Manufacturer warranties on hardware/accessories are subject solely to the applicable manufacturer's terms. This warranty does not cover normal wear and tear, damage after delivery, water/humidity damage, improper cleaning, modifications by others, or damage from later construction work.
10.1β10.3. If Client cancels after execution, Contractor retains all amounts earned or spent on design, labor, measurements, materials, fabrication, scheduling, and logistics. If fabrication has begun, Client remains responsible for all work performed and materials ordered, plus a cancellation fee of 20% of the remaining contract balance. Contractor may suspend or terminate performance for nonpayment, unsafe/unready site conditions, third-party interference, unauthorized scope changes, or commercial impracticability.
11.1β11.3. All materials are subject to market availability. If a specified material becomes unavailable or impractical to procure, Contractor may propose a comparable substitute for Client approval; resulting price or schedule adjustments shall be added by written approval.
12.1. If any payment is not timely made, Contractor may immediately stop work, withhold delivery, suspend installation, reschedule labor, and retain possession of uninstalled materials until all outstanding amounts are paid in full.
13.1. Unless Client objects in writing before installation begins, Contractor may photograph the completed project for portfolio, website, advertising, and social media purposes, provided no unnecessary personal or confidential information is disclosed.
14.1β14.2. Any approval, notice, or communication under this Agreement may be made by signed document, email, or text/WhatsApp message and shall be deemed valid if capable of being documented. Communications sent to the address/number provided by Client shall be deemed received.
15.1β15.2. In the event of nonpayment, Contractor shall be entitled to pursue collection by any lawful means. The prevailing party in any legal action shall be entitled to recover court costs and reasonable attorneys' fees to the extent permitted by law.
16.1β16.2. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Venue for any dispute shall lie exclusively in the courts located in Florida.
17.1β17.5. This Agreement, together with any exhibits, drawings, specifications, and written change orders, constitutes the entire agreement between the parties. No oral statements shall modify this Agreement. Any amendment must be in writing and signed by both parties. If any provision is held invalid, the remaining provisions remain in full force. This Agreement may be signed electronically and in counterparts.
